INTRODUCTION
1.1 These Terms and Conditions (the “T&C”), as amended from time to time, represent an agreement between you (“you”, “your” or collectively with other users, “Users”) and MoMo Payment Service Bank Limited (MoMo PSB, we, us, ours) and governs your use and access to the Scheduled Top Up Service (“Service”). By subscribing to and using the Service, you agree to be bound by these T&C and all applicable laws as shall be amended by MoMo PSB from time to time.
1.2 Please carefully read this T & C to ensure that you fully understand all the provisions before accepting these terms. By checking the box and clicking “CONFIRM”, you are signifying that you have carefully read and understood the terms, and agree to be bound by these terms, and all future modifications to these terms.

ELIGIBILITY
2.1 The Service is available to all MoMo customers with an active MoMo account.

DEFINITION
3.1 “Automatic Debit” means a financial arrangement that enables the automatic deduction of payments from a customer’s bank account or card on a predetermined schedule.
3.2 “Network Provider” means a business or organization that provides customers with access to telecommunications in Nigeria including without limitation, MTN, Airtel and Globacom.
3.3 “MoMoPSB App” means the mobile money application operated by MoMo PSB.
3.4 “Wallet Balance” means the balance account of the User within the MoMoPSB App.
3.5 “Payment Account” means Wallet Balance as the case may be, which will be the account through which all debits will be made from with respect to the Service.
3.6 “Privacy Policy” means the privacy policy of MoMo PSB on the MoMoPSB App, which governs how data collected under these Terms will be processed and stored.
3.7 “Scheduled Top-Up” or the “Service” is a service we offer to Users whereby Users are able to automatically purchase airtime from a Network Provider at a scheduled date. A User can access the Service on the Scheduled Top-Up page of the MoMoPSB App.

SUBSCRIPTION TO THE SERVICE
4.1 You shall fill in the relevant information relating to the Service, including without limitation, the scheduled top-up amount, date, mobile number, payment method and relevant Network Provider, (together, “Top-Up Information”) on the Scheduled Top-Up page.
4.2 You shall ensure that the Top-Up Information provided is accurate and complete. You acknowledge that after payment for a Scheduled Top-Up is completed, you will be unable to change or modify the Top-Up Information. We shall not be liable for any loss you incur as a result of incorrect Top-Up Information and you hereby agree to indemnify us from any loss we incur due to your provision of incorrect or false information.
4.3 You represent to us that you possess the authority or have obtained the required consent to share with us any mobile number or personal information included in the Top-Up Information. You agree to indemnify us of any loss we may incur which arises from your failure to obtain the consent required under this clause.
4.4 The User may however, change the Top-Up Information before a debit is effected on the Payment Account for a Scheduled Top-Up.
4.5 After a successful debit in accordance with Clause 5 below, we will send instructions to the relevant Network Provider to process the top up. After a successful processing, we will top up the specified mobile number with the corresponding amount.
4.6 Due to the Service reliance on the Network Providers, we make no express or implied representations or warranties on the promptness or completion of a Scheduled Top-Up. We will however, promptly credit the specified mobile number with the specified amount as soon as we receive confirmation of a successful processing from the relevant Network Provider.
4.7 Where you don’t have sufficient funds in your Payment Account, the Scheduled Top-Up will fail and we will not be able to provide you with the Service.

AUTOMATIC DEBIT MANDATE
5.1 You hereby authorise us to automatically deduct the corresponding amount stated in the Top-Up Information from the Payment Account for each Scheduled Top-Up on the scheduled date.
5.2 You understand that the Automatic Debit Mandate hereby authorized herein will be processed by electronic funds transfer and you hereby authorise all such Automatic Debit via the Payment Account.
5.3 You hereby undertake and guarantee to always have sufficient funds to satisfy the Automatic Debit Mandate given herein and shall ensure that the Payment Account is always funded to cover the top-up under this Service.

MISCELLANEOUS
6.1 We reserve the right to suspend or cancel the Service at anytime and at our discretion with or without notice to you. You may terminate the Service at any time by deactivating the Service on the MoMoPSB App.
6.2 The Terms and Conditions for the MoMoPSB App and the Privacy Policy are incorporated herein by reference and matters not covered under these Terms shall be subject to the provision of the above agreements.

TERMINATION AND SUSPENSION
MoMo PSB reserves the right to suspend or terminate your participation in the Service if you fail to comply with these T&C or if there is suspicion of fraudulent activity. You may terminate your participation in the Service at any time by notifying MoMo PSB through the MoMoPSB app or customer services.

LIABILITY AND INDEMNITY
MoMo PSB shall not be liable for any losses or damages arising from your use of the Service, except where such losses or damages are caused by our gross negligence or willful misconduct. You agree to indemnify and hold MoMo PSB harmless from any claims, damages, or losses arising from your breach of these T&C or your use of the Service.
You are solely responsible for the safety and confidentiality of your account details and information such as your PIN, mobile phone devices used for the purpose of this services etc.

AMENDMENTS
MoMo PSB reserves the right to amend these T&C at any time. Any changes will be communicated to you through the MoMoPSB App or other channels and will take effect upon such communication.
Continued use of the Service after amendments to these T&C constitutes your acceptance of the revised terms.

GOVERNING LAW
- These terms and conditions of use of the Service and all matters of disputes arising therefrom or incidental thereto shall be governed in accordance with the Laws of the Federal Republic of Nigeria.
- In the event of a dispute or difference between You and MoMo PSB in connection with or in relation to this Agreement or its performance, construction or interpretation, the Party alleging the dispute shall provide a written notice, giving particulars of the dispute (the Notice of Dispute) to the other Party via the channel provided in Clause 11. You and MoMo PSB agree to each appoint a representative and to cause your respective representatives to meet as soon as possible, in an effort to resolve the dispute amicably, in good faith and with absolute fair play. All such representatives of the Parties shall be referred to as ‘Settlement Nominees’ and the period agreed on for such discussion shall be referred to as “Period of Discussion”.
- If the dispute is not resolved by formal negotiation within fourteen (14) Business Days of the notice of dispute, the dispute shall be referred to a court of competent jurisdiction.
- Where there is any inconsistency between the provisions of these Terms and Conditions, and any regulation of the CBN, the CBN regulations shall prevail.
- Where there is a dispute between the provisions of these Terms and Conditions, and the terms and conditions for use of MoMo PSB bank platform, the later shall prevail.
